Guest Contributor Terms
These Guest Contributor Terms (“Terms”) govern the submission of articles and related materials (“Content”) for publication by Top Developer Academy. These Terms constitute an agreement between the person submitting the Content (“Contributor”) and Top Developer Academy LLC (“Company”).
1. Submission and Editorial Discretion
Submission of Content does not guarantee publication. The Company retains sole discretion to accept, reject, edit, schedule, postpone, suspend, or remove any Content.
The Company may make reasonable editorial changes for grammar, clarity, length, formatting, accuracy, and consistency with its editorial standards. The Company will seek the Contributor’s approval before making changes that materially alter the meaning of the Content.
2. Ownership and License
The Contributor retains ownership of the copyright in the Content.
For Content accepted for publication, the Contributor grants the Company a worldwide, royalty-free, nonexclusive, sublicensable license to edit, format, reproduce, publish, display, distribute, archive, excerpt, and promote the Content through the Top Developer Academy website, newsletters, emails, social media accounts, and other editorial or promotional channels.
This license continues after the Content is published and permits the Company to retain published and archived versions of the Content.
The Company may not sell the Content as a standalone product, include it in a paid course or book, or use it to train an artificial intelligence model without the Contributor’s separate written permission.
The Contributor agrees not to republish, post, or otherwise make available substantially similar Content on any third-party platform, website, newsletter, or publication for 60 days following the date of initial publication by the Company. After that period, the Contributor may republish the Content, provided that Top Developer Academy is credited as the original publisher with a link to the original article.
3. Attribution
The Company may publish the Contributor’s name, biography, photograph, professional title, employer, and relevant links together with the Content and in materials promoting the Content.
Such use does not create or imply an endorsement of Top Developer Academy by the Contributor or the Contributor’s employer.
4. Contributor Representations
The Contributor represents and warrants that:
The Content is original, or the Contributor has obtained all permissions necessary to submit and license it.
The Content does not violate any applicable law or infringe any copyright, trademark, privacy, publicity, confidentiality, contractual, or other right, and is not defamatory.
The Content does not contain confidential, proprietary, personally identifiable, patient, employer, or customer information that the Contributor is not authorized to disclose.
The Contributor has obtained any approval required by an employer, client, or other organization.
Quotations, sources, and third-party materials are accurately identified and properly attributed.
Any relevant commercial interest, sponsorship, or conflict of interest has been disclosed.
Examples based on professional experience have been sufficiently anonymized.
Any opinions expressed in the Content are those of the Contributor and do not necessarily represent the Company, the Contributor’s employer, or any customer or other organization.
5. Use of Artificial Intelligence
The Contributor must disclose any substantial use of generative artificial intelligence to create or rewrite the Content. Disclosure is not required for ordinary spelling, grammar, or proofreading assistance.
The Contributor remains responsible for the Content’s accuracy, originality, and compliance with these Terms. Confidential or sensitive information must not be submitted to an artificial intelligence tool in connection with the Content.
6. Corrections and Removal
The Company may correct, update, annotate, suspend, or remove Content when reasonably necessary for legal, accuracy, quality, security, or editorial reasons.
The Contributor may request correction or removal of published Content. The Company will consider such requests in good faith but is not required to remove the Content. The Company may retain nonpublic archival and administrative copies for legal and recordkeeping purposes.
7. Relationship
Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between the Contributor and the Company. Neither party is obligated to submit or publish any minimum amount of Content or continue the relationship.
8. Governing Law and Severability
These Terms are governed by the laws of the State of California. If any provision is found unenforceable, the remaining provisions will remain in effect.
9. Indemnification
The Contributor agrees to defend, indemnify, and hold harmless Top Developer Academy LLC and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) any Content the Contributor submits or the Company publishes; (ii) any breach of the representations and warranties in Section 4; or (iii) any claim that the Content infringes or misappropriates a third party's intellectual property or other rights.
The Company will promptly notify the Contributor of any claim to which this section applies and will reasonably cooperate in the defense of such claim. The Contributor may not settle any claim in a way that imposes obligations or liability on the Company without the Company's prior written consent.
